Our managed finance operations services are subject to a separate Service Agreement which will be provided upon engagement. These Terms apply to use of the Website and initial interactions with our business.

2. Services Overview

Fifth Day provides managed finance operations services for technology companies, including but not limited to:

• Monthly bookkeeping and bank reconciliation
• Financial statement preparation and reporting
• SaaS metrics tracking and analysis
• Cash flow forecasting and runway modelling
• Management commentary and strategic insight
• GST/VAT return preparation
• Financial modelling (as a project-based add-on)

The specific scope, deliverables, and pricing for your engagement will be detailed in a separate Service Agreement.

3. Eligibility

Our services are designed for businesses, not individual consumers. By engaging our services, you represent that you have the authority to bind the entity on whose behalf you are acting and that the entity is a legally registered business.

4. Website Use

You agree not to:

• Use the Website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Website or its systems
• Reproduce, duplicate, or copy any material from the Website without our written consent
• Submit false, misleading, or spam content through our contact form
• Use automated tools to scrape, crawl, or extract data from the Website beyond what is permitted by our robots.txt

• All plans are billed monthly in advance
• No setup fees apply unless otherwise agreed
• A 14-day money-back guarantee applies to the first month of service
• Add-on services (tax filing, financial modelling, etc.) are quoted and billed separately

We reserve the right to adjust pricing with 30 days' written notice.

7. Engagement & Termination

Our services are provided on a month-to-month basis unless otherwise specified in your Service Agreement.

• Either party may terminate the engagement with 30 days' written notice
• Upon termination, we will provide all completed work product and assist with a reasonable transition period
• Access to your accounting platform will be revoked upon termination unless otherwise agreed
• Fees for the current billing period are non-refundable except under the 14-day money-back guarantee

8. Confidentiality

We treat all client financial data as strictly confidential. All team members with access to client data are bound by confidentiality agreements. We will not disclose your financial information to third parties except:

• As required to deliver our services (e.g. to licensed tax partners for tax filing)
• With your explicit written consent
• As required by law, regulation, or court order

9. Intellectual Property

All content on the Website — including text, graphics, illustrations, logos, and design — is the property of Fifth Day and is protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Website without our prior written consent.

Work product delivered to you as part of our services (financial reports, models, commentary) becomes your property upon payment of applicable fees.

To the maximum extent permitted by law:

• Our services are provided on an “as is” basis. While we exercise professional care and diligence, we do not guarantee specific business outcomes from our financial reporting or analysis
• We are not liable for any indirect, incidental, special, or consequential damages arising from the use of our Website or services
• Our total liability for any claim arising from our services shall not exceed the fees paid by you in the 3 months preceding the claim
• We are not a licensed accounting firm, tax agent, or auditor. Compliance services (tax filing, audit) are delivered through our licensed partners
